“RESOLVED THAT pursuant to the provisions of Sections 88, 94, 118, 119, 120 and other applicable provisions, if any, of the Companies Act, 2013 read with the rules made thereunder, including any statutory modification(s), amendment(s) or re-enactment(s) thereof for the time being in force, consent of the Board be and is hereby accorded for maintaining the statutory registers, books, records, minutes, documents and other corporate records of the Company in electronic form in accordance with applicable legal requirements.

RESOLVED FURTHER THAT the electronic records so maintained shall be capable of being retrieved, reproduced in legible form and preserved with adequate safeguards against unauthorised access, alteration or destruction.

RESOLVED FURTHER THAT any Director and/or Company Secretary and/or Authorised Signatory of the Company be and are hereby severally authorised to implement and administer the electronic record management system and to do all such acts, deeds and things as may be necessary for giving effect to this resolution.”
