“RESOLVED THAT pursuant to the provisions of Sections 129, 134, 137, 179(3) and other applicable provisions, if any, of the Companies Act, 2013 read with the rules made thereunder, the Audited Financial Statements of the Company for the financial year ended [●], comprising the Balance Sheet as at [●], Statement of Profit and Loss, Cash Flow Statement, Statement of Changes in Equity, where applicable, together with the Notes forming part thereof, as placed before the meeting, be and are hereby considered, approved and adopted by the Board.
RESOLVED FURTHER THAT the Board’s Report together with all annexures and disclosures required under the Companies Act, 2013 be and is hereby approved.
RESOLVED FURTHER THAT the Audited Financial Statements and Board’s Report be and are hereby approved for circulation to the members and for placing before the ensuing Annual General Meeting of the Company.
RESOLVED FURTHER THAT any Director and/or Chief Financial Officer and/or Company Secretary of the Company be and are hereby severally authorised to sign the Financial Statements, Board’s Report and all related documents and to do all such acts, deeds and things as may be necessary for giving effect to this resolution.”
