“RESOLVED THAT pursuant to the provisions of Section 174 of the Companies Act, 2013 and Secretarial Standard-1 on Meetings of the Board of Directors, the requisite quorum for the Meeting of the Board of Directors of the Company be and is hereby noted as present throughout the meeting.
RESOLVED FURTHER THAT the Chairman of the Meeting be and is hereby authorised to proceed with the conduct of the business as set out in the Agenda circulated to the Directors.
RESOLVED FURTHER THAT the proceedings of the Meeting be recorded in the Minutes Book of the Company in accordance with Section 118 of the Companies Act, 2013 and applicable Secretarial Standards.”
